Vancouver, British Columbia – April 05, 2023 — ValOre Metals Corp. (“ValOre”; TSXV: VO; OTCQB: KVLQF; Frankfurt: KEQ0, “the Company”) today announced the intent to complete a non-brokered private placement (the "Offering") of up to 17,500,000 (the "Units") at a price of CDN$0.20 per Unit for gross proceeds of up to CAD$3,500,000. Each Unit will consist of one common share in the capital of the Company (a “Share”) and one-half of one non-transferable common share purchase warrant (each whole common share purchase warrant, a “Warrant”). Each whole Warrant will be exercisable to acquire one Share at an exercise price of CDN$0.30 per Share for a period of 24 months from the date of issuance.

Certain Insiders of the Company will acquire Units in the Offering. Any participation by insiders in the Private Placement would constitute a "related party transaction" as defined under Multilateral Instrument 61-101 Protection of Minority Security Holders in Special Transactions (“MI 61-101”). However, the Company expects such participation would be exempt from the formal valuation and minority shareholder approval requirements of MI 61-101 as the fair market value of the Units subscribed for by the insiders, nor the consideration for the Units paid by such insiders, would exceed 25% of the Company's market capitalization.

ValOre intends to use the net proceeds of the Offering to conduct mineral exploration at ValOre’s 100% owned Pedra Branca Platinum Group Elements (“PGE”) project in Brazil, in addition to general working capital purposes. With the closing of this private placement, and subject to the approval of the TSX Venture Exchange, the loans in the aggregate amount of CAD$1,350,000 made to ValOre by the Company’s CEO and CFO will be fully extinguished.

No finder’s fees will be payable on the Offering.

Closing of the Offering is subject to approval of the TSX Venture Exchange.

The securities issued under the Offering, and any Shares that may be issuable on exercise of any such securities, will be subject to a statutory hold period expiring four months and one day from the date of issuance of such securities.

(“ValOre”, or the “Company”) (TSX-V: VO, OTC: KVLQF, Frankfurt: KEQ) today announced the closing of the non-brokered private placement financing (the “Offering) disclosed on August 19, 2022. ValOre issued 7,440,000 units (“Units”) at a price of $0.40 per Unit for gross proceeds of $2,976,000. Each Unit will consist of one common share (a “Share”) in the capital of ValOre and one-half of one non-transferable common share purchase warrant (each whole common share purchase warrant being a “Warrant”). Each Warrant will be exercisable to acquire one Share at a price of CDN$0.60 per Share for a period of 24 months, expiring August 30, 2024.

ValOre intends to use the net proceeds raised from the Offering for additional exploration work on ValOre’s Angilak Property uranium project in Nunavut Territory, Canada and the Company’s Pedra Branca palladium platinum project in Brazil, as well as for general working capital.

Vancouver, B.C. – November 17, 2021 – ValOre Metals Corp. (“ValOre”, or the “Company”) (TSX-V:VO, OTC:KVLQF, Frankfurt: KEQ) today announced the closing of the previously announced "best efforts" brokered private placement (the "Offering") for gross proceeds of C$11,000,000, which includes the proceeds from the full exercise of the Agent’s option. Due to significant demand, the Offering was upsized from the original gross proceeds of C$7.0 million. Under the Offering, the Company sold 18,333,333 flow-through units of the Company to charitable purchasers (each, a "Charity FT Unit") at a price of C$0.60 per Charity FT Unit. Red Cloud Securities Inc. (the “Agent”) acted as sole agent and bookrunner under the Offering.  

Each Charity FT Unit consists of one common share of the Company (each, a "FT Share") and one-half of one common share purchase warrant (each whole warrant, a "Warrant"), each of which is issued as a “flow-through share” within the meaning of the Income Tax Act (Canada). Each Warrant shall entitle the holder to purchase one common share of the Company (each, a "Warrant Share") at a price of C$0.65 per Warrant Share at any time on or before November 17, 2023. The Warrant Shares issuable upon exercise of the Warrants will not qualify as “flow-through shares” for the purposes of the Income Tax Act (Canada). The FT Shares and Warrant Shares are subject to a hold period ending on March 18, 2022 in accordance with applicable securities laws.

The gross proceeds from the issuance of the FT Shares will be used for “Canadian Exploration Expenses” (within the meaning of the Income Tax Act (Canada)) (the “Qualifying Expenditures”), which will be renounced with an effective date no later than December 31, 2021 to the purchasers of the Charity FT Units in an aggregate amount not less than the gross proceeds raised from the issue of the FT Shares.

In connection with the Offering, the Company: the Company: (i) paid the Agent a cash commission equal to 6% of the gross proceeds from the Offering, excluding the gross proceeds in the amount of approximately $2 million from the sale of Charity FT Units to purchasers included on a president’s list (the "President's List"), and (ii) issued to the Agent 900,000 warrants (the "Broker Warrants"). Each Broker Warrant entitles the Agent to acquire one common share of the Company at a price of C$0.60 at any time on or before November 17, 2023. (“ValOre”, or the “Company”) (TSX-V:VO, OTC:KVLQF, Frankfurt: KEQ) today announced that based on significant investor demand, the Company has increased the size of the previously announced “best efforts” private placement (the “Offering”) from C$7,000,000 to up to C$9,000,000 from the sale of up to 15,000,000 flow-through units of the Company to be sold to charitable purchasers (the “Charity FT Units”) at a price of C$0.60 per Charity FT Unit (the “Offering Price”).

Each Charity FT Unit will consist of one common share of the Company to be issued as a “flow-through share” within the meaning of the Income Tax Act (Canada) (each, a “FT Share”) and one half of one common share purchase warrant (each whole warrant, a “Warrant”). Each whole Warrant shall entitle the holder to purchase one common share of the Company (each, a “Warrant Share”) at a price of C$0.65 at any time on or before that date which is 24 months after the closing date of the Offering.

Red Cloud Securities Inc. (the “Agent”) is acting as sole agent and bookrunner under the Offering. The Agent will have an option, exercisable up to 48 hours prior to the closing date of the Offering, to sell up to 3,333,333 additional Charity FT Units at the Offering Price for additional gross proceeds of up to C$2,000,000. The Company shall pay to the Agents a cash commission equal to 6.0% of the gross proceeds of the Offering. In addition, the Company shall issue to the Agents warrants of the Company exercisable for a period of 24 months, to acquire in aggregate that number of common shares of the Company which is equal to 6.0% of the number of Charity FT Units sold under the Offering at an exercise price equal to the Offering Price.

ValOre intends to use the proceeds raised from the Offering for exploration work on ValOre’s Angilak Property Uranium Project in Nunavut Territory, which hosts the Lac 50 Trend (“Lac 50”) Inferred Resource of 2,831,000 tonnes grading 0.69% U3O8, totaling 43.3 million pounds U3O8 .* Comprehensive exploration programs have demonstrated Angilak’s "District Scale" potential, with drill-confirmed uranium mineralization established along 40 kilometres of prospective geological trend, and multiple un-drilled targets property-wide.

The gross proceeds from the issuance of the FT Shares will be used for “Canadian Exploration Expenses” within the meaning of the Income Tax Act (Canada) (the “Qualifying Expenditures”), which will be renounced with an effective date no later than December 31, 2021, to the purchasers of the Charity FT Units in an aggregate amount not less than the gross proceeds raised from the issue of the FT Shares. If the Qualifying Expenditures are reduced by the Canada Revenue Agency, the Company will indemnify each subscriber of Charity FT Units for any additional taxes payable by such subscriber as a result of the Company’s failure to renounce the Qualifying Expenditures.

(the “Agent”) to act as sole agent and bookrunner for the sale of up to 11,666,667 flow-through units of the Company to be sold to charitable purchasers (the “Charity FT Units”) at a price of C$0.60 per Charity FT Unit (the “Offering Price”) on a “best efforts” basis under a private placement for gross proceeds of up to C$7,000,000 (the “Offering”). Each Charity FT Unit will consist of one common share of the Company to be issued as a “flow-through share” within the meaning of the Income Tax Act (Canada) (each, a “FT Share”) and one half of one common share purchase warrant (each whole warrant, a “Warrant”). Vancouver, British Columbia, February 16, 2021 – ValOre Metals Corporation. (“ValOre”) (TSX-V: VO) today announced the intent to increase the size of the previously announced non-brokered private placement on January 29, 2021 from C$3,600,000 to C$8,330,000. The Company will issue up to 27,766,666 units for total gross proceeds of up to C$8,330,000 (“Private Placement”).

Each unit will be issued at a price of C$0.30 and will consist of one common share of ValOre and one half of one common share purchase warrant (each, a “Unit”). Each whole warrant will be exercisable to acquire one common share of ValOre at an exercise price of C$0.45 for 24 months from the date of the closing of the Private Placement.

The closing of the Private Placement is subject to the receipt of all necessary regulatory approvals, including the approval of the TSX Venture Exchange. ("ValOre" or the “Company”) (TSX Venture Exchange: VO) today announced the intent to complete a non-brokered private placement (the "Offering") of up to 12,000,000 units (the "Units") at a price of CDN$0.30 per Unit for gross proceeds of up to CDN$3,600,000. Each Unit will consist of one common share in the capital of the Company (a “Share”) and one-half of one non-transferable common share purchase warrant (each whole common share purchase warrant, a “Warrant”). Each whole Warrant will be exercisable to acquire one Share at an exercise price of CDN$0.45 per Share for a period of 24 months from the date of issuance.

Certain insiders of the Company may acquire Units in the Offering. Any participation by insiders in the Private Placement would constitute a "related party transaction" as defined under Multilateral Instrument 61-101 Protection of Minority Security Holders in Special Transactions (“MI 61-101”).
